Terms of Use

We run this website and permit its use according to the following terms and conditions:

Basic Terms

1. Using this website implies your acceptance of these conditions. If you do not fully accept them, your entry to this site will be considered unauthorized and you will have to stop using it immediately.
2. You must be 13 years or older to to use this site. You must be 18 years or older to post, respond to or communicate with anyone pertaining to offers.
3. You are responsible for any activity that occurs under your account / username.
4. You are responsible for keeping your account secure.
5. You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, videos, links ("Content") that you submit, post, and display on the Edenslist service.
6. You must not modify, adapt or hack Edenslist.com or modify another website so as to falsely imply that it is associated with Edenslist.com
7. You must not create or submit unwanted email to any Edenslist.com members ("Spam").
8. You must not transmit any worms or viruses or any code of a destructive nature.
9. You must not, in the use of Edenslist.com, violate any laws in your jurisdiction (including but not limited to copyright laws).

Violation of any of these agreements will result in the termination of your Edenslist account. While Edenslist prohibits such conduct and content on its site, you understand and agree that Edenslist.com cannot be responsible for the Content posted on its web site and you nonetheless may be exposed to such materials and that you use the Edenslist.com service at your own risk.

General Conditions

1. We reserve the right to modify or terminate the Edenslist.com service for any reason, without notice at any time.
2. We reserve the right to alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will notify you via internet mail according to the preference expressed on your account. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgement.
3. We reserve the right to refuse service to anyone for any reason at any time.
4. We may, but have no obligation to, remove Content and accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Use.
5. The Edenslist service makes it possible to post images and text hosted on Edenslist.com to outside websites. However, pages on other websites which display data hosted on our web server must provide a link back to Edenslist.com

Prohibited

Users must comply with all applicable laws, the Edenslist terms of use, and all posted site rules.

You may not post, share or list anything that is prohibited. If you do, your account will be immediately banned. Here is a partial list of goods, services, and content prohibited on Edenslist:

1. spam; miscategorized, overposted, cross-posted, or non-local content


2. affiliate marketing; network, or multi-level marketing; pyramid schemes


3. any good, service, or content that violates the law or legal rights of others

Please don't use Edenslist for these purposes. Any members/accounts found posting/listing prohibited items/services will be immediately banned.

Fees

When you purchase a paid listing, you authorize us to charge your account and/or credit card. Fees are non-refundable, even for listings we remove, delay, omit, re-categorize, re-rank, or otherwise moderate. We may refuse any listing.

Usernames

Unless you own the property rights, you may not reserve a username that contains a trademark and/or tradename or that of a celebrity/brand. Otherwise, usernames are created and reserved on a first come, first serve basis. We reserve the right to change or remove your username for any or no reason whatsoever.

Copyright of Your Data:

1. We claim no intellectual property rights over the material you provide to the Edenslist.com service. Your profile and listing materials uploaded remain yours. You can modify your profile and remove your listings at any time by deleting. This will also remove any text, images or videos you have stored in the system for each listing.
2. All data associated with each listing is automatically deleted upon expiration of the listing.

Disclaimer & Liability

To the full extent permitted by law, Edenslist, and its officers, directors, employees, agents, licensors, affiliates, and successors in interest: (1) make no promises, warranties, or representations as to Edenslist, including its completeness, accuracy, availability, timeliness, propriety, security or reliability; (2) provide Edenslist on an "AS IS" and "AS AVAILABLE" basis and any risk of using Edenslist is assumed by you; (3) disclaim all warranties, express or implied, including as to accuracy, merchantability, fitness for a particular purpose, and non-infringement, and all warranties arising from course of dealing, usage, or trade practice; and (4) disclaim any liability or responsibility for acts, omissions, or conduct of you or any party in connection with Edenslist. Edenslist Entities are NOT liable for any direct, indirect, consequential, incidental, special, punitive, or other losses, including lost profits, revenues, data, goodwill, etc., arising from or related to Lictocity, and in no event shall such liability exceed $100 or less. Some jurisdictions restrict or alter these disclaimers and limits, so some may not apply to you.

Claims & Indemnity

Any claim, cause of action, demand, or dispute arising from or related to Edenslist ("Claims") will be governed by the internal laws of Arizona, without regard to conflict of law provisions, except to the extent governed by US federal law. Any Claims will be exclusively resolved by courts in Phoenix, AZ (except we may seek preliminary or injunctive relief anywhere). You agree to (1) submit to the personal jurisdiction of courts in Phoenix, AZ; (2) indemnify and hold Edenslist Entities harmless from any Claims, losses, liability, or expenses (including attorneys' fees) that arise from a third party and relate to your use of Edenslist; and (3) be liable and responsible for any Claims we may have against your officers, directors, employees, agents, affiliates, or any other party, directly or indirectly, paid, directed or controlled by you, or acting for your benefit.
